The agreement governing your use of CipherVPN, CipherVPN, and CipherMail

Please read these Terms carefully before using our Services. By creating an account or using any Velocity product, you enter into a binding legal agreement with CipherVPN Ltd ("Velocity", "we", "us"). If you are agreeing on behalf of an organisation, you represent that you have authority to bind that organisation.

By registering an account, downloading the Velocity application, or otherwise using the Services, you confirm that you:
If you are using the Services on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
To use the Services, you must create an account by providing a valid email address and a password. You agree to provide accurate, current, and complete information and to update it as necessary.
One account per individual user. Sharing account credentials with unauthorised third parties is a material breach of these Terms and may result in immediate suspension.
Velocity offers subscription plans on monthly and annual billing cycles. Plan features, pricing, and device limits are published on our pricing page and may change with 30 days' advance notice to existing subscribers.
If a payment fails, we will retry up to 3 times over 7 days. If payment is not resolved, the account will be downgraded to free tier (where available) or suspended. Data is retained for 30 days after suspension before deletion.
Trial periods and promotional prices are offered at our discretion. One trial per user. Trials automatically convert to paid subscriptions unless cancelled before the trial end date.
You may cancel your subscription at any time from Account Settings → Billing → Cancel Subscription. Cancellation takes effect at the end of the current billing period. You retain access to Services until that date.

The Services are provided for lawful privacy and security purposes. You may use the Services to:
Velocity is a privacy infrastructure platform, not an anonymity service for illegal activity. Our no-log architecture protects legitimate users from surveillance. It does not protect illegal actors from law enforcement with valid legal process.
The following uses are strictly prohibited and will result in immediate account termination without refund:
Critical violations: Any prohibited use that constitutes a criminal offence, endangers others, or violates international law will be reported to relevant law enforcement authorities to the extent technically possible.
All software, trademarks, service marks, logos, documentation, designs, and content created by Velocity are owned by or licensed to CipherVPN Ltd. These Terms do not grant you any ownership rights. You receive a limited, non-exclusive, non-transferable, revocable licence to use the software solely to access the Services.
You retain all ownership rights in Content you transmit through or store within the Services. You grant Velocity a limited, worldwide, royalty-free licence to host, transmit, and process your Content solely to the extent necessary to provide the Services. We do not claim any rights beyond operational necessity.
Velocity's client applications include open-source components. Applicable licences (MIT, GPL, Apache 2.0) are disclosed in the application's acknowledgements section and in our GitHub repository.
We target 99.9% uptime for VPN and Mail services but do not guarantee uninterrupted access. Services may be unavailable due to maintenance, force majeure events, or circumstances beyond our control.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VELOCITY DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VELOCITY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID VELOCITY IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL VELOCITY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.
Some jurisdictions do not permit exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless CipherVPN Ltd and its officers, directors, employees, agents, and successors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:
We reserve the right to assume exclusive control over the defence of any matter for which you would be required to indemnify us, at your expense.
You may close your account at any time from Account Settings → Delete Account. Account deletion permanently removes all personal data within 30 days (subject to statutory retention obligations).
We may suspend or terminate your account immediately, with or without notice, for:
Upon termination, your right to access the Services ceases immediately. Velocity may retain data for the periods specified in the Privacy Policy. Provisions that by their nature should survive termination — including IP, disclaimers, indemnification, and dispute resolution — will continue to apply.
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Nothing in these Terms affects your statutory rights as a consumer under applicable local law.
Before initiating formal proceedings:
You agree to submit to the non-exclusive jurisdiction of the courts of England and Wales. EU consumers retain the right to bring claims in their country of habitual residence. EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.
To the extent permitted by applicable law, all claims must be brought in your individual capacity and not as a plaintiff or class member in any class action.
Enterprise Customers (organisations with 10+ seats or a signed Enterprise Agreement) are governed by their Enterprise Agreement, which supersedes these Terms in the event of conflict. Enterprise-specific terms include:
